GENERAL TERMS AND CONDITIONS OF BUSINESS OF VEGAPOLIS S.R.O.

These General Terms and Conditions (hereinafter referred to as the “Terms” or “GTC”) govern the rights and obligations of the contracting parties when concluding purchase agreements and service agreements between Vegapolis s.r.o., Company ID: 22634100, with its registered office at Václavské náměstí 808/66, Prague 1, registered in the Commercial Register maintained by the Municipal Court in Prague, Section C, Insert 419374 (hereinafter referred to as the “Seller”), and a natural or legal person (hereinafter referred to as the “Buyer”) who enters into a contract with the Seller via the website www.vegapolis.cz, in person, or by other means.

Article I – Definitions

Buyer means a consumer or entrepreneur who concludes a contract with the Seller for the purchase of goods or provision of services.

Consumer means a natural person acting outside the scope of their business or professional activity.

Entrepreneur means a person acting within the scope of their business or independent professional activity.

Goods means, in particular, fresh vegetables (especially peppers and tomatoes), or other plant-based products offered by the Seller. Such goods are perishable within the meaning of Section 1837(e) of the Civil Code.

Service means the cultivation of crops for the Buyer or other activities related to agricultural production.


Article II – Conclusion of the contract

The purchase agreement is concluded at the moment the Seller confirms the Buyer’s order and this confirmation is delivered to the Buyer (by email or otherwise).

Before confirming the order, the Buyer has the opportunity to review, modify, or cancel it.

The order must include:

  • precise specification of goods or services
  • quantity
  • price including VAT
  • payment method
  • delivery method and place
  • Buyer’s contact details

The Seller is entitled to verify the correctness and completeness of the order before confirmation.

The Buyer acknowledges that the order is binding and its submission creates an obligation to pay for the goods or services.


Article III – Price and payment terms

The price includes VAT and all applicable fees. Delivery costs are stated separately.

Accepted payment methods:

  • bank transfer
  • cash on personal collection
  • online card payment
  • cash on delivery (for selected shipping methods)

In case of advance payment, the Buyer must pay within 3 days.

Goods are dispatched after payment is received or handed over upon collection.

The Seller issues an invoice, which also serves as proof of purchase.


Article IV – Delivery terms

Delivery within the Czech Republic:

  • Personal collection – free of charge
  • Seller’s own delivery (Prague and up to 20 km) – according to current price list, free for orders over 1500 CZK
  • Courier service – according to carrier’s price list

Delivery times:

  • in-stock goods: 1–3 business days
  • made-to-order goods: as agreed

Risk of damage passes to the Buyer upon receipt.

The Buyer must:

  • check packaging integrity
  • check completeness
  • report any damage

Article V – Defective performance and complaints

The Seller is responsible for ensuring that goods are free from defects upon receipt.

Specifics of fresh goods:

  • perishable
  • shelf life 3–7 days
  • complaints must be made on the day of delivery or the following day

Complaint procedure:

Possible outcomes:

  • replacement
  • refund
  • discount

Article VI – Withdrawal from the contract

The Consumer has the right to withdraw within 14 days.

Exceptions:

  • perishable goods
  • services already commenced

Returns:

  • within 14 days
  • costs borne by the Buyer

Article VII – Custom cultivation service

The Seller provides a crop cultivation service.

Results depend on natural conditions.

Conditions:

  • provided for a season
  • no withdrawal after service has begun

Article VIII – Personal data protection

Processing is in accordance with GDPR.

Purposes:

  • contract performance
  • accounting
  • marketing (with consent)

Rights:

  • access
  • rectification
  • erasure
  • complaint

Article IX – Cookies

Article X – Out-of-court dispute resolution

Article XI – Force majeure

The Seller is not liable for:

  • natural disasters
  • war
  • epidemics

Article XII – Final provisions

Governed by Czech law.
